Eligibility

Account Security

Multi-User Accounts

For business accounts with multiple users, the account owner is responsible for user management, access controls, and ensuring all users comply with these Terms. We are not liable for actions taken by individual users within your organization.

Prohibited Activities

• To violate any applicable laws, regulations, or third-party rights
• To transmit viruses, malware, or other harmful code
• To interfere with or disrupt our Services or servers
• To attempt unauthorized access to any systems or data
• To scrape, harvest, or collect data without permission
• To impersonate others or provide false information
• To use our Services for competitive analysis or benchmarking
• To resell or redistribute our Services without authorization

Content Standards

Any content you submit through our Services must:

• Be accurate and not misleading
• Not infringe any intellectual property rights
• Not contain confidential information of third parties
• Comply with all applicable laws and regulations

Our Intellectual Property

All rights, title, and interest in and to our Services, including but not limited to:

• Software, algorithms, and AI models
• Designs, logos, and branding elements
• Documentation, training materials, and content
• Methodologies and business processes

are and shall remain the exclusive property of The Core Company and its licensors.

Your Content

You retain ownership of content you submit to our Services. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to:

• Use, reproduce, and process your content to provide Services
• Improve our Services and develop new features
• Generate aggregated, anonymized insights

Feedback

Any feedback, suggestions, or ideas you provide regarding our Services becomes our property and may be used without compensation or attribution to improve our Services or develop new offerings.

Fees and Billing

• Fees are based on your selected plan and usage
• All fees are quoted in Vietnamese Dong (VND) unless otherwise specified
• Fees are exclusive of applicable taxes (VAT)
• Payment is due within 30 days of invoice date

Subscription Terms

• Subscriptions automatically renew unless cancelled
• Cancellations must be submitted before renewal date
• No refunds for partial subscription periods
• Downgrades take effect at next billing cycle

Late Payment

Late payments may incur interest at 1.5% per month (or the maximum rate permitted by law) and may result in suspension of Services until payment is received in full.

Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE CORE COMPANY SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, or consequential damages
• Loss of profits, revenue, data, or business opportunities
• Damages resulting from use or inability to use our Services
• Damages arising from unauthorized access to your data

Cap on Liability

Our total liability for any claims under these Terms shall not exceed the total amount paid by you to The Core Company in the twelve (12) months preceding the claim.

Termination by You

You may terminate your account at any time by contacting our support team. Upon termination, you will continue to have access to the Services through the end of your current billing period.

Termination by Us

We may suspend or terminate your access to the Services:

• For violation of these Terms or our policies
• For non-payment of fees
• If required by law or court order
• If we discontinue the Services

Effects of Termination

Upon termination, your right to use the Services will immediately cease. We will provide you with a reasonable opportunity to export your data. Provisions of these Terms that by their nature should survive termination shall survive.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Socialist Republic of Vietnam, without regard to its conflict of law provisions.

Dispute Resolution

Any disputes arising out of or relating to these Terms shall be resolved through:

1. Good faith negotiations between the parties
2. If negotiations fail, mediation in Ho Chi Minh City
3. If mediation fails, binding arbitration under the rules of the Vietnam International Arbitration Centre (VIAC)

Jurisdiction

For any matters not subject to arbitration, you consent to the exclusive jurisdiction of the courts in Ho Chi Minh City, Vietnam.
